Acquisitions and Dispositions
Transact Law, P.C. assists clients with sales and acquisitions of land, office, retail, hotel, industrial, apartment, health care and other types of properties. Our work includes structuring, drafting and negotiating purchase and sale agreements; conducting due diligence encompassing title, reviewing surveys and assessing service contracts and leases; negotiating the financing documents; and guiding clients through the title and escrow process, including securing a favorable title policy upon acquisition and ensuring the closing statements are correct.
Financing
The firm advises clients on all types of financing, such as construction, sale/lease-back and permanent financing as well as acquisition, development and mezzanine loans, including negotiating the loan application and commitment and continuing through with the critical review and necessary revision of all loan documents and issuance of enforceability opinions as needed. Our work includes helping clients develop financing strategies which may include seller carry-back and use of a negotiated line of credit. Having negotiated billions of dollars in financing, Mr. Michelsen is well prepared to tackle all commercial real estate financing objectives of his clients.
Commercial Leasing
Mr. Michelsen’s expertise extends to leasing office and industrial buildings and parks, research and development projects, medical and healthcare facilities, retail centers, restaurants and ground leases, advising clients from the letter of intent through lease negotiation, build-out, occupancy and beyond. While becoming familiar with the client’s specific needs, the firm customizes the documentation and negotiation approach accordingly, with the flexibility and staff to handle a wide range of lease transactions.
Development
With his extensive experience in the acquisition and development of land, Mr. Michelsen routinely handles design, construction and builder contracts and prepares easement agreements, CC&Rs and related development documentation.
Real Estate Solutions
Over the years some of the firm’s best results have been in highly complex and fragmented commercial real estate transactions requiring creative solutions, including the workout and restructure of loans, and working with investment and development clients to capitalize on acquisitions of properties either before, during or after a foreclosure auction. These matters are ideal for consideration of success fee arrangements offered by the firm.
Real Estate Solutions
Mr. Michelsen advises clients on forming, operating, managing and dissolving corporations, partnerships and limited liability companies as they relate to commercial real estate, including the syndication of entities with private equity financing. While drafting and negotiating entity acquisition, sale, merger, buy-sell, management and consulting agreements, the firm often provides due diligence assistance for business acquisitions and mergers, including reviewing existing entity formation documents, services and other contracts.
