A Commercial Real Estate Law Firm

Transact Law, P.C. is a “boutique” specialty law practice that focuses solely on the commercial real estate industry, assisting various-sized corporate entities, trusts and individuals with their commercial real estate transactions and related corporate matters. We specialize in commercial lease negotiations; acquisition and disposition of real estate buildings and projects; formation of corporations, limited liability companies and partnerships; preparation of various agreements and documents relating to development; and financing for real estate projects and corporate growth needed to build a real estate business and acquire a critical mass of properties.

Experience.

Mr. Michelsen graduated cum laude from Pepperdine University School of Law in 1987. While there, he was a member of Law Review and he received the American Jurisprudence Award for earning the highest grade in the course on corporate taxation.

After passing the California Bar examination immediately following graduation, he practiced law in Newport Beach as a litigation attorney, specializing in business and real estate disputes for six years. During the next four years, he was employed by a publicly-traded company where he worked on numerous multimillion-dollar business and real estate transactions, including the acquisition, financing, syndication, development, leasing and construction of real estate projects.

Since January of 1998, Mr. Michelsen has applied his vast knowledge of business and real estate transactions to assist his own clientele in the commercial real estate business.

Value.

Choice of counsel should be based primarily on an attorney’s expertise for the matter retained. A consideration of the cost-efficiency of the attorney should also be a vital part of the selection process to determine if the attorney will be able to add value to the applicable transaction, as well as willingness to meet your cost-control objectives. Mr. Michelsen understands the need for cost-effective legal services to add value to commercial real estate transactions. His hourly fee is well below fees charged by other attorneys with similar backgrounds working in other law firms. Further, work at the firm is performed by a paralegal to the greatest extent possible, only third-party costs are charged to clients (not in-house costs, although some law firms pass that on to clients), and there is never any charge for administrative work on files. In addition Transact Law offers Success Fee arrangements in which the firm will only be paid upon the successful consummation of the applicable transaction; this is ideal for transactions in which there is risk associated with the closing, and the firm elects to share the risk with the client.

Transparency.

Mr. Michelsen provides exceptional service, remaining in constant contact with clients and returning telephone calls promptly. In addition, all transactions are consummated without undue delay. Lengthy transactions tend to adversely affect relationships, become costly and jeopardize consummation. Mr. Michelsen further believes integrity is a necessary component of service; it is the guiding principle of his practice. All new business to the firm is based on referrals, which speaks to the high level of service provided to the firm’s clients.
